Effective date: July 14, 2026. Please read these Terms of Use carefully. By accessing or using Stay and Eat, creating an account, or contributing content, you agree to be bound by these Terms. If you do not agree, do not use the site.
These Terms contain a binding arbitration provision and a class-action waiver in the “Dispute Resolution” section below, which affect how disputes are resolved.
1. Who we are
Stay and Eat is owned and operated by Culture Media, LLC (“Culture Media,” “we,” “us,” or “Stay and Eat”), a limited liability company based in Connecticut, United States. You can reach us at contact@stayandeat.com.
2. Eligibility and your account
You must be at least 18 years old to create an account or submit content, and you must provide accurate information. You are responsible for keeping your login credentials secure and for all activity under your account. Notify us promptly at contact@stayandeat.com if you suspect unauthorized use.
3. License to use the site
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use Stay and Eat for your own personal, non-commercial use. You may not scrape, copy, republish, or commercially exploit the site or its content without our written permission.
4. Content you submit
“Your Content” means reviews, ratings, photographs, venue suggestions, and any other material you submit. You retain ownership of Your Content. By submitting it, you grant Culture Media, LLC a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, host, store, reproduce, modify, adapt, translate, excerpt, publish, publicly display, and distribute Your Content on and in connection with Stay and Eat and its promotion.
You represent and warrant that Your Content is your own honest, firsthand account; that you own it or have the rights to submit it; and that it does not infringe anyone’s rights or violate any law. You may delete your reviews at any time from My Reviews. When you delete content we stop displaying it publicly and the license ends for future use, although residual copies may remain in backups or caches for a limited time, and excerpts previously shared may persist.
5. Reviews and community standards
Reviews must describe places you have actually visited. Do not review a business you own, work for, or compete with, and do not post paid, incentivized, or fake reviews. Full standards are in our Review Guidelines, which are part of these Terms. All submissions are reviewed by an editor before publication; we may decline or remove content, and may correct formatting, spelling, and categorization, without altering the substance of opinions.
6. Prohibited activities
When using Stay and Eat, you agree not to:
- Submit content that is false, misleading, defamatory, harassing, hateful, obscene, threatening, or unlawful;
- Post advertising, spam, links, coupon codes, or other promotional material in reviews;
- Impersonate any person or entity, or misrepresent your affiliation with a person or entity;
- Infringe the intellectual property, privacy, or other rights of others, or upload images you lack the right to share;
- Use bots, scrapers, or other automated means to access, harvest, or copy the site or its data;
- Attempt to interfere with, probe, overload, or gain unauthorized access to the site, its accounts, or its systems;
- Collect or store other users’ personal information, or use the site for any commercial solicitation;
- Violate any applicable law or these Terms, or encourage others to do so.
We may investigate and take appropriate action, including removing content and suspending or terminating accounts.
7. Our intellectual property
The Stay and Eat name and logo, editor’s reviews, ratings system, site design, text, graphics, and software are owned by or licensed to Culture Media, LLC and are protected by intellectual-property laws. Except for the limited license in Section 3, we grant you no rights in them.
8. Venues, third parties, and your decisions
Stay and Eat is an independent editorial and community review site. We do not own, operate, or endorse the venues listed, we are not a booking or reservation service, and we are not a party to any transaction between you and any venue. Editor’s Reviews reflect honest opinions at the time of a visit; venues change, and reviews are opinions and general information, not guarantees. Your dining and travel decisions are your own. The site may link to third-party websites, which are governed by their own terms and policies and for which we are not responsible.
9. Copyright and DMCA
If you believe content on the site infringes your copyright, follow the process in our Copyright & DMCA Policy. We disable or terminate the accounts of repeat infringers.
10. Disclaimer of warranties
To the fullest extent permitted by law, Stay and Eat is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted or error-free, or that any review, rating, or listing is accurate, current, or complete.
11. Limitation of liability
To the fullest extent permitted by law, Culture Media, LLC and its members, managers, and contributors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss arising from your use of the site, your reliance on any content, or your experience at any venue. Our total liability for any claim relating to the site will not exceed one hundred U.S. dollars (USD $100).
12. Indemnification
You agree to indemnify, defend, and hold harmless Culture Media, LLC and its members, managers, and contributors from and against any claims, damages, and expenses (including reasonable attorneys’ fees) arising out of Your Content, your use of the site, or your violation of these Terms or any law or third-party right.
13. Dispute resolution; arbitration; class-action waiver
Please read this section carefully — it affects your legal rights.
- Informal resolution first. Before starting a formal proceeding, you agree to contact us at contact@stayandeat.com and try in good faith to resolve the dispute for at least 30 days.
- Binding arbitration. Except as noted below, any dispute arising out of or relating to these Terms or the site will be resolved by final and binding individual arbitration administered under the rules of a recognized arbitration provider, rather than in court. The arbitrator decides all issues, except that a court may decide the enforceability of this arbitration provision.
- Class-action waiver. Disputes will be arbitrated only on an individual basis; you and Culture Media, LLC waive any right to bring or participate in a class, collective, or representative action.
- Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual-property rights.
- 30-day opt-out. You may opt out of this arbitration provision by emailing contact@stayandeat.com within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration.
- Time limit. Any claim must be brought within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.
14. Governing law and venue
These Terms and any dispute are governed by the laws of the State of Connecticut, without regard to its conflict-of-laws rules. To the extent a dispute is not subject to arbitration, it will be brought exclusively in the state or federal courts located in Connecticut, and you consent to their jurisdiction.
15. Suspension and termination
We may suspend or terminate your account or access, or remove content, at our discretion, including for violation of these Terms or the Review Guidelines. You may stop using the site and delete your content at any time. Sections that by their nature should survive termination (including content license for already-shared material, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected in the effective date above and, where appropriate, communicated on the site. Your continued use after changes take effect means you accept the updated Terms.
17. General
These Terms, together with our Review Guidelines, Privacy Policy, and Copyright & DMCA Policy, are the entire agreement between you and Culture Media, LLC regarding the site. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. Notices to you may be posted on the site or sent to your account email; notices to us go to contact@stayandeat.com.
